Government fees depend on your category, state, turnover and applicant type. We confirm those, and our professional fee, before you commit to anything.

What you get

Separate legal identity — The company can hold assets and enter contracts in its own name.
Limited shareholder liability — For a company limited by shares, shareholder liability is generally limited to the unpaid amount on the shares, subject to applicable law.
Structured ownership — Shares and constitutional documents give founders a documented framework for ownership and governance.
Business continuity — Changes in members do not, by themselves, end the company's existence.
Investment readiness — A share-capital structure can support eligible investment transactions, subject to corporate and foreign-investment rules.
Formal business records — Incorporation and statutory records help establish the business's identity for banking and contractual requirements.

Who this is for

  • At least two subscribers and two directors are needed. The same individuals may be both shareholders and directors.
  • A private company generally has a maximum of 200 members, subject to the statutory counting rules and exclusions. More than 15 directors requires a special resolution.
  • At least one director must stay in India for at least 182 days during the financial year, with proportionate application for a newly incorporated company. Residence and citizenship are different tests.
  • Choose a permissible company name, define the business objects and agree the proposed share capital and ownership.
  • Provide an Indian registered-office address and the relevant consents. Additional approvals can apply to regulated activities and foreign investment.

Documents required

We send this as a single written checklist so you are not chased for documents one at a time.

1Identity and address — PAN for Indian applicants, accepted identity proof such as Aadhaar or passport as applicable, current residential proof, photographs and contact details of the proposed signatories. Overseas applicants need the appropriate passport and authenticated documents.
2Registered office — Recent utility bill and ownership evidence, with the owner's no-objection letter. Add a lease or rent agreement for rented premises; names and addresses should agree across the records.
3Proposed company details — Preferred names with their significance, a clear activity description, capital structure, share allocation and details of any existing trademark relevant to the name.
4Director consents and signatures — Director consents, declarations and valid digital signatures for the required signatories. Existing DIN details should match the identity records.
5Constitutional documents — Memorandum of Association sets out the company's objects. Articles of Association govern its internal management; the appropriate electronic or attached versions are prepared for the application.
6Overseas or corporate shareholders — Corporate subscribers may need incorporation records, board authorisation and representative details. Overseas execution can require notarisation, apostille or consular authentication and translation, depending on the country and document.

After the filing

What stays your responsibility once this is done.

  • Review commencement-of-business filing where applicable before starting business or borrowing.
  • Arrange the required auditor appointment, statutory registers, share certificates and maintenance of accounts.
  • Hold and document the applicable board and member meetings; requirements and exemptions depend on the company category.
  • Prepare financial statements and arrange the statutory audit. File the applicable financial statements and annual return with MCA.
  • Review income-tax, GST, payroll and activity-specific registrations separately. Incorporation does not replace them.
  • Track event-based filings for changes in directors, office, capital, ownership and constitutional documents.

How the process works

  1. 1

    Plan the incorporation

Confirm directors, subscribers, office, activity, ownership and any sector-specific restrictions.

  2. 2

    Check and reserve the name

Review the proposed names and relevant trademark issues, then prepare the name-reservation portion of SPICe+. Name availability is subject to MCA approval.

  3. 3

    Prepare signing arrangements

Organise digital signatures and verify the identity, address and existing DIN particulars of the signatories.

  4. 4

    Prepare the incorporation set

Draft the constitutional documents, consents and declarations, and complete SPICe+ and the applicable linked forms.

  5. 5

    Review and submit

Obtain applicant approval, complete signing and submit the application with applicable statutory fees and stamp duty.

  6. 6

    Address scrutiny

Track the application and respond to any resubmission requirements within the permitted period.

  7. 7

    Receive incorporation records

On approval, organise the incorporation certificate and the allotted identifiers for the company.

  8. 8

    Plan the first obligations

Set up the bank, accounting and statutory records, and review commencement, auditor and other post-incorporation requirements.
